1. Acceptance of Terms

By accessing, browsing, or using the Coachive platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Coachive LLC ("Coachive", "we", "us", or "our"). If you do not agree to these Terms, you must not access or use our Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform following any changes indicates your acceptance of the modified Terms. We encourage you to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

Coachive operates an online marketplace that connects individuals seeking coaching services ("Clients") with independent professional coaches ("Coaches"). Our Platform facilitates the discovery, booking, and conducting of coaching sessions via integrated video conferencing technology.

Important: Coachive is a platform provider only. We do not provide coaching services directly, do not employ Coaches, and do not control the content or quality of coaching sessions. Coaches are independent contractors solely responsible for the services they provide.

4. User Accounts

To access certain features of the Platform, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent or illegal purposes.

5. Coach Obligations

If you register as a Coach on our Platform, you additionally agree to:

• Provide accurate information about your qualifications, experience, and credentials
• Maintain any certifications or licenses required for your coaching services in your jurisdiction
• Deliver professional, ethical coaching services in accordance with industry standards
• Comply with all applicable laws and regulations in the jurisdictions where you provide services
• Not engage in any form of discrimination, harassment, or inappropriate conduct
• Honor all confirmed bookings unless cancelled in accordance with your stated cancellation policy

6. Payments and Fees

All payments on the Platform are processed securely through Stripe, our third-party payment processor. By using our payment services, you agree to comply with Stripe's terms of service.

• Coaches set their own session rates. Coachive charges a platform fee (percentage of each transaction) for providing our services
• Prices are displayed in USD or EUR based on your location settings. Currency conversion rates may apply
• Payment is processed at the time of booking. Funds are held until the session is completed
• Coaches receive payouts according to the payout schedule specified in their account settings
• All fees are non-refundable except as expressly stated in these Terms or as required by law

7. Booking and Cancellation

Session bookings are subject to the following terms:

• Bookings are confirmed upon successful payment processing
• Each Coach sets their own cancellation policy, which is displayed on their profile
• Refunds for cancelled sessions are processed according to the Coach's stated cancellation policy
• Coachive reserves the right to issue refunds in cases of technical failures or policy violations
• Repeated no-shows or late cancellations may result in account restrictions

8. User Conduct

You agree to use the Platform in a manner consistent with all applicable laws and regulations. You agree NOT to:

• Harass, abuse, threaten, or intimidate other users
• Impersonate any person or entity or misrepresent your affiliation
• Post or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to any portion of the Platform or any systems or networks
• Use the Platform for any commercial purpose not expressly permitted
• Circumvent the Platform to conduct transactions directly with Coaches met through Coachive
• Upload or transmit viruses, malware, or other malicious code

9. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of Coachive LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Platform content without our express written permission.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Coachive does not warrant that: (a) the Platform will meet your requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Platform will be accurate or reliable; (d) the quality of any coaching services obtained through the Platform will meet your expectations.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COACHIVE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Platform
• Any conduct or content of any third party on the Platform, including Coaches
• Any content obtained from the Platform
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability exceed the amounts you have paid to Coachive in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Coachive and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Coachive.

14. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and Coachive concerning your use of the Platform and supersede all prior agreements and understandings.

17. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by email or by posting a notice on the Platform prior to the effective date of the changes. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.
